Contract: 6 months, with potential to become permanent
The Opportunity
A leading industrial technology and manufacturing organisation is looking for an experienced Legal Counsel to join its team on an initial 6-month contract, with the potential to transition into a permanent position. This is a hands-on opportunity to support an active M&A transaction, working closely with senior internal stakeholders, external legal counsel and other advisors.
Key Responsibilities
* Provide legal support throughout an active M&A transaction* Draft, review and negotiate M&A agreements and related commercial contracts* Support legal due diligence and identify key legal and commercial risks* Review and negotiate transaction documentation* Work closely with senior business and finance stakeholders* Liaise with external legal counsel and transaction advisors* Provide practical, commercially focused legal advice throughout the transaction* Support the business through the negotiation and execution of transaction documentation* Assist with broader corporate and commercial legal matters where requiredExperience Required
* Bachelor of Law degree* Qualified lawyer with eligibility to practise in Ontario* 4+ years of relevant legal experience* Strong experience in M&A and transactional contracts* Proven experience supporting M&A transactions and legal due diligence* Strong contract drafting and negotiation skills* Commercially minded, with the ability to provide practical business-focused legal advice* Comfortable working with senior stakeholders and external advisors* Able to work effectively in a fast-paced, transaction-focused environmentThis is an opportunity to join an established international organisation and play a hands-on role in an active M&A transaction. The initial contract is for 6 months, with the potential to transition into a permanent position
